These Terms of Use (the "Terms of Use") contain the terms and conditions governing this website, www.jhlcapitalgroup.com (the "Site"), and is an agreement between JHL Capital Group LLC ® (together with its affiliates and funds, "JHL") and you, the user, as well as any company you represent (collectively, "you"). Please read these Terms of Use carefully before using the Site. By accessing the Site, YOU AGREE TO THESE TERMS OF USE. JHL reserves the right to change the terms, conditions, and notices under which the Site is offered without notice at any time. Each use of the Site constitutes your agreement to be bound by the then-current terms and conditions set forth in these Terms of Use.

Limited License to Use the Site

The Site is owned and operated by JHL. Except as specifically permitted below, nothing contained in these Terms of Use or the Site itself either grant or will be construed to grant to you or any third party any title or interest in, or any license or right to use or reproduce, any image, text, software, code, trademark, logo, or service mark contained in the Site, including without limitation the name or logo of JHL. JHL reserves, and will enforce to the fullest extent possible, all rights that it may have with respect to copyright and trademark ownership of all material contained in the Site.

JHL grants you a limited, nonexclusive license to display and otherwise use portions of the Site solely for your own private, non-commercial informational purposes only, and to print pages from the Site only in connection with that use. You may not modify, distribute, transmit, perform, reproduce, publish, license, create derivative works from, transfer, or sell any text, graphics, logos, or other source-identifying symbols, designs, icons, images, or other information or content of the Site (the "Content"), or the software, HTML or other code or scripts in any format used to implement the Site (the "Code").

No Use by Children

The Site is intended only for use by individuals 13 years of age and older. You are not permitted to use the Site if you are under 13 years of age.

Employment Postings; No Offer of Employment

The Site may link users to a third-party website that allows for the online submission of resumes in response to postings of employment positions with JHL. Any personal information provided in connection with the submission of a resume will be subject to the online privacy policy of that third-party website. You agree not to submit any false or inaccurate biographical information. Recruiters representing candidates may not send candidates’ resumes in response to postings for employment positions with JHL. There is a risk that your resume may be lost or intercepted by a third party if you submit it through such third-party website. JHL cannot be held responsible for any loss arising from the transmission or use of resumes submitted through websites linked to the Site.

The Site, and any third-party websites linked to the Site, do not constitute an offer or promise of employment with respect to any employment position with JHL described on the Site or any such third-party websites linked to the Site. Without notice, JHL or any third-party websites linked to the Site may eliminate, modify, or change any aspects of any employment positions with JHL described on the Site or such third-party websites. The Site and any third-party websites linked to the Site do not provide binding employment offers for positions with JHL or any terms or conditions of employment with JHL. Any employment offer from JHL that may ensue as a result of your submission of information to JHL or any third-party website linked to the Site shall be solely in accordance with the specific terms of such employment offer, not the terms of the Site or such third-party website.

No Offer of Securities

Under no circumstances should any material at the Site be used or considered as an offer to sell or a solicitation of an offer to buy any interest in any investment fund sponsored or managed by JHL. Any such offer or solicitation can and will be made only by means of the offering memorandum or private placement memorandum of each such investment fund, only in jurisdictions in which such an offer would be lawful, and only to individuals who meet the investor suitability and sophistication requirements of each such investment fund. Access to information about the investment funds is similarly limited to individuals who meet the applicable investor suitability and sophistication requirements.

Use of Information Submitted by You

Personal information supplied by you to the Site by which you may be identified will be governed by JHL's Online Privacy Policy. Any information or other material you provide to JHL shall be deemed to be of a non-confidential and non-proprietary nature. All such submitted material, whether through the Site or by mail, email, telephone or otherwise, shall become JHL's property upon JHL's receipt of the same, and your submission of material shall constitute an assignment to JHL of all worldwide right, title and interest in such material. JHL is not liable for any use or disclosure of such material. JHL has no obligation to keep such material confidential and JHL is free to use, reproduce, edit, modify, and disclose or distribute to any other parties without limitation any such material and ideas, concepts, know-how, or techniques contained in such material, for any purpose.

You may submit only materials that are your own original work. You may not infringe, misappropriate, or violate the rights of third parties by your submission of any material. You may not submit material that is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and such material must not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of submitted material.

JHL is not responsible for the content or activities on any third-party websites that may be linked to the Site. JHL is not responsible for the terms of use or privacy practices of such other websites. JHL’s inclusion of links to other websites does not imply any endorsement of the material located on or linked to by such websites. JHL expressly disclaims any responsibility for the content of any third-party websites linked to the Site or the products or services of such third parties. YOUR USE OF THIRD-PARTY WEBSITES AND RESOURCES IS AT YOUR OWN RISK.

No Warranty

JHL AND ITS RESPECTIVE OFFICERS, DIRECTORS, PRINCIPALS, AGENTS, AND EMPLOYEES MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, SUITABILITY, OR OTHER CHARACTERISTICS OF THE CODE AND CONTENT (COLLECTIVELY, "SITE MATERIAL") PRESENTED THROUGH THE SITE. ALL SITE MATERIAL IS PROVIDED "AS IS", WITHOUT ANY WARRANTY OF ANY KIND, AND IS SUBJECT TO CHANGE WITHOUT NOTICE. Limitation of Liability

IN NO EVENT SHALL JHL AND ITS RESPECTIVE OFFICERS, DIRECTORS, PRINCIPALS, AGENTS, AND EMPLOYEES BE LIABLE FOR ANY CLAIMS, LIABILITIES, LOSSES, COSTS, OR DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, EXEMPLARY, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES OF WHATEVER KIND RESULTING FROM WHATEVER CAUSE, INCLUDING LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER TYPE OF DAMAGE, TANGIBLE OR INTANGIBLE IN NATURE, WHETHER IN AN ACTION UNDER THEORIES OF CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE. SUCH LIMITATIONS APPLY EVEN IF JHL OR ANY OF ITS RESPECTIVE OFFICERS, DIRECTORS, PRINCIPALS, AGENTS, OR EMPLOYEES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY AGAINST JHL HEREUNDER IS TO STOP USING THE SITE.

General

These Terms of Use are governed by and construed in accordance with the internal laws of the State of Illinois, without reference to any conflict of laws provisions. You hereby irrevocably consent to the jurisdiction of, and venue shall lie in, any federal or state court located in Cook County, Illinois, U.S.A., as the exclusive jurisdiction and venue for the adjudication of all disputes, suits, actions or other proceedings arising out of or relating to the Site or these Terms of Use.

Any notice relating to the Site shall be given in writing and sent by registered mail to JHL at JHL Capital Group LLC, Attn: Chief Compliance Officer, 1500 North Halsted, Suite 200, Chicago, IL 60642.

You consent to receive communications from JHL electronically. JHL will communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures and other communications that JHL provides to you electronically satisfy any legal requirement that such communications be in writing. You agree that a printed version of these Terms of Use and any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

If any provision of these Terms of Use is held to be void, invalid, or otherwise unenforceable in any jurisdiction, such provision shall be deemed modified to the minimum extent necessary so that such provision shall no longer be held to be invalid or unenforceable, and these Terms of Use shall be interpreted so as to achieve the intent expressed herein to the greatest extent possible in the jurisdiction in question. Any such modification, invalidity, or unenforceability shall be strictly limited both to such provision and to such jurisdiction.
